NDA template for software development projects

Reading time: 2 min

It is crucial to protect confidential information of your organisation, especially when choosing an IT partner for software development.

In order to introduce appropriate information security measures, you need a well-drafted, proven and reliable Non-Disclosure Agreement (NDA) template. We have browsed through heaps of NDAs over the years and have prepared an NDA template to help you go through this process.

What is an NDA?

A Non-Disclosure Agreement, also known as a Confidentiality Agreement or simply an NDA, is a common tool widely used to protect the secrecy of confidential information between the parties to the agreement.

The main purposes of this legal contract are to specify:

  • parties to the agreement,
  • what exactly is deemed to be confidential,
  • the scope of confidentiality,
  • exclusions from confidentiality,
  • obligations of the parties,
  • consequences upon breaching the contract.

Since you are about to choose a software development partner and have already shortlisted some outsourcing companies based on their answers to your Request For Proposal, don’t hesitate to ask them to review and sign a Non-Disclosure Agreement as soon as possible, ideally before exchanging any confidential details.

What are the benefits of signing an NDA for IT project?

Firstly, thanks to an NDA, you can be sure the other party is treating your business information in strict confidentiality, as you have introduced appropriate legal measures that grant protection.

Secondly, the approach of the other party’s legal department will give you a glimpse of what you can expect from them during possible cooperation in the future in terms of flexibility, speed of contact and their overall engagement level.

Moreover, a Non-Disclosure Agreement can secure any documents or trade secrets revealed during the process of cooperation and protects your vulnerable data.

Furthermore, an NDA sets out the frame of cooperation during the future business. The moment parties sign the NDA, they acknowledge confidentiality of information and agree not to disclose it to the detriment of the other party, throughout the whole cooperation and after its termination.

As you can see, a well-drafted Confidentiality Agreement is an essential security measure both when entering the negotiations phase with a software outsourcing provider, as well as later in the future, during the IT project itself.

To help you secure these phases, we’ve prepared an NDA template for IT projects. Download the NDA template by completing the form.
